Accreditation of representative offices of foreign companies


The majority of the foreign companies do their business in the Russian Federation through the vehicle of a permanent representative office. Representative office of a foreign company represents and protects interests of the foreign company and on the territory of the Russian Federation. Therefore nowadays registration of representative offices of the foreign companies is a topical issue; especially since recently the process of their accreditation had been changed to become more complicated. Our company has accumulated vast experience in accreditation of representative offices of foreign companies in Russia.

Creation:

Accreditation of the representative office of the foreign legal entity in Russia is carried out in the State Registration Chamber with the Ministry of Justice of the Russian Federation. A representative office of a foreign legal body can be created in Russia only with the permission of the accrediting body. Accreditation can be granted for one, two or three years, and can be extended if necessary. A company receives a permission to open its representative office.

Process:

Accreditation of a representative office in the Russian Federation consists of a number of steps:
  • accreditation with the State Registration Chamber;
  • registration with the Tax Office (MI FNS №47);
  • appropriation of the codes of foreign economic activity (OKVED);
  • registration with extra-budgetary funds (PFR,FOMS, FSS);
  • opening an account with a bank;
  • creation of a stamp for the representative office. Our company will be happy to provide you with all the services listed above, or any of them that you may choose.
LIST OF NECESSARY DOCUMENTS AND DETAILS
  1. A written application for the establishment of a representative office (presented in typed form on company letterhead, signed by an authorized person and sealed with the company’s seal; it shall indicate the name of the company, the time of its incorporation, address, nature of its business, purpose of establishing a representative office and planned time of operations in Russia, business cooperation with Russian partners and prospects of development).
  2. Extract from the Trade Register of the country of origin of a foreign legal entity or other document confirming registration of a foreign legal entity in accordance with the laws of the country of its location.
  3. Articles of Association (Memorandum of Association) of a foreign legal entity (if the legislation of its home jurisdiction does not require the Articles of Association (Memorandum of Association), the foreign legal entity shall confirm that by a note from the registering authority).
  4. The resolution of a foreign legal entity to establish a representative office in the Russian Federation.
  5. The original and a certified copy of Regulations of a representative office of a foreign legal entity in the Russian Federation.
  6. A certificate of solvency from a foreign bank servicing the foreign legal entity in its home country, issued within the last 6 months.
  7. Refererence letters from Russian business partners (at least two letters on company letterhead in free format signed by the authorized person and sealed with the company’s seal).
  8. A certified copy of the General Power of Attorney with all the necessary powers for the Head of a representative office of a foreign legal entity.
  9. A certified copy of the Power of Attorney issued to the person authorized to represent interests of a representative office at the Federal State Institution, State Registration Chamber with the Ministry of Justice of Russia (filed if the authorized person is not the Head of a representative office).
  10. A document from Tax Office confirming that the foreign legal entity is a taxpayer in its home country, and stating its TIN.
  11. A document that certifies the address of a representative office of a foreign legal entity in the Russian Federation (a Guarantee letter from provider of the address and a copy of their certificate of ownership of the premises).
  12. A completed data sheet of a representative office of a foreign legal entity. (two copies of the form completed in printed form and signed by the attorney of the foreign legal entity). (Foreign documents are accepted only if they bear authentic marks that they have been legalized by the consulate or apostilled unless exemption from these procedures is granted under international treaties to which the Russian Federation is a party;the documents shall also be enclosed with a Russian translation certified by the notary or consular services. These documents shall be valid for a year from the date of issue, except for Items 6 and 8. Our company will draft samples of documents 1, 4, 5, 6, 7, 8 and 9 for you. You will need to execute them. Regarding the document specified in item 11, we can serve as a middleman.
TIMING

  • Accreditation of the representative office and registration in the State Registration Chamber with the Ministry of Justice of the Russian Federation take from ten to thirty working days from the time of submitting the full set of documents.
  • Tax registration is effected in the Tax Office of the Federal Tax Service (IFNS №47) and it takes seven working days.
  • Approval of the sketch of the stamp is done in the State Registration Chamber with the Ministry of Justice of the Russian Federation and it takes from two to five working days.
  • Producing the stamp takes one day.
  • Obtaining the OKVED codes (Russian National Classifier of Economic Activities) takes one day.
  • Registration with the Pension Fund of the Russian Federation (PFR) normally takes one day.
  • Registration with the Social Insurance Fund (FSS) takes one day.
  • Registration with the Compulsory Medical Insurance Fund (FOMS) takes one day.
  • Opening accounts with banks takes from seven to fourteen days, depending on which bank the client may choose.
